1. Acceptance of Terms

By accessing or using the Parabolic Tech website (parabolictech.com) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

These Terms govern your use of our website and the relationship between you and Parabolic Tech Limited ("Parabolic Tech", "we", "us", or "our"), a company registered in Ghana.

If you do not agree to these Terms, do not access or use our website or services.

2. Our Services

Parabolic Tech provides software engineering, cloud infrastructure, digital transformation, and related technology services to enterprises, governments, financial institutions, and other organisations. Services are provided pursuant to separate engagement agreements or statements of work ("Agreements") entered into between Parabolic Tech and each client.

These Terms govern your use of our website and general interactions with Parabolic Tech. Specific service terms, deliverables, timelines, pricing, and other conditions are governed by the applicable Agreement.

3. Use of the Website

You may use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any manner that could disable, overburden, or impair the site or interfere with any other user's use
• Attempt to gain unauthorised access to any portion of the website, or any systems or networks connected to it
• Use automated tools (bots, scrapers, crawlers) to collect content without our prior written consent
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another's privacy
• Use the website to distribute spam or unsolicited commercial communications
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

4. Intellectual Property

All content on the Parabolic Tech website — including but not limited to text, graphics, logos, images, code, and design — is the property of Parabolic Tech Limited or its licensors and is protected by Ghanaian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and view the website content for personal or internal business purposes. You may not:

• Copy, reproduce, distribute, or create derivative works from our content without written permission
• Use our trademarks, trade names, logos, or service marks without prior written consent
• Remove or alter any copyright notices or proprietary markings

For content created under an engagement Agreement, intellectual property ownership is governed by the terms of that specific Agreement.

5. Confidentiality

In the course of evaluating or engaging our services, you may disclose confidential information to Parabolic Tech. We treat all client and prospective client information as confidential and will not disclose it to third parties without your consent, except:

• As required by law or court order
• To our service providers who need the information to assist us in providing services, and who are bound by confidentiality obligations
• With your explicit permission

Similarly, any proprietary information, methodologies, tools, or processes of Parabolic Tech shared with you in the course of an engagement are confidential and may not be disclosed or used beyond the scope of that engagement.

6. Disclaimer of Warranties

The Parabolic Tech website is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The website will be available, uninterrupted, or error-free
• Any errors or defects will be corrected
• The website is free of viruses or other harmful components
• The information on the website is accurate, complete, or current

This disclaimer does not affect warranties that cannot be excluded under applicable law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Parabolic Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising from your use of or inability to use the website.

Our total liability to you for any claims arising from your use of the website (not including claims under an engagement Agreement) shall not exceed GHS 1,000 or its equivalent in your local currency.

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Our website may contain links to third-party websites and services. These links are provided for your convenience and do not constitute an endorsement of those sites or their content.

• Your violation of any third-party rights, including intellectual property rights

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the website shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Ghana.

For clients outside Ghana, we are open to agreeing on a neutral dispute resolution forum in the applicable Agreement for service-related disputes.

12. Termination

We reserve the right to terminate or suspend your access to the website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.

Upon termination, your right to use the website ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, indemnification, and limitations of liability) shall survive.

13. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page with a new "Last Updated" date. Material changes will be communicated through a prominent notice on our website.
